What you buy, what we guarantee, what stays your responsibility. In plain words, before you pay.

  1. 1.Purpose and scope

These terms govern use of the Bidlora service and any order placed on bidlora.com: analysis of a tender dossier, Pro subscription and drafting of a submission dossier. They apply to anyone who creates an account or pays for a service.

The service is aimed primarily at professionals. Any conflicting customer term is binding on us only if we have accepted it in writing.

  2. 2.Definitions

"Dossier": the set formed by a tender notice and the documents you attach. "Analysis": the automated comparison of the buyer's requirements with your documents, quoting the source page. "Written dossier": the drafting service described in section 8. "Starter": the free plan. "Pro": the paid subscription.

  3. 3.Account and access

You create an account with a valid email address, which you must confirm. You are responsible for keeping your credentials confidential and the information you provide accurate. An account belongs to one organisation; people you invite access it according to the role you give them.

You must inform us without delay of any unauthorised access.

  4. 4.Prices, currencies and taxes

Prices are shown in Swiss francs for Switzerland and Liechtenstein, in euros for customers in the European Union, depending on the zone from which the site is accessed. The amount displayed at checkout is the amount due: no live currency conversion is applied.

The operator is not registered for VAT: prices are final and no tax is added at checkout. If that situation changes, displayed prices would be adjusted and the tax announced before any payment.

Prices may change. A price change never applies to a period already paid; it takes effect for the following period, after prior notice.

  5. 5.Payment and subscription

Payment is processed by Stripe. We neither receive nor store your card number. A dossier analysis and the written dossier are one-off payments; the Pro subscription is recurring, monthly or yearly, until cancelled.

The subscription renews automatically at term for the same period, at the price then in force. You may cancel at any time from your account; cancellation takes effect at the end of the paid period, with no refund for that period.

A failed payment may lead to suspension after notice. Periods already paid remain due.

  6. 6.Quotas and credits

Pro includes five analyses per billing period, which do not carry over from one month to the next. An extra analysis can be bought on its own without changing plan. If an analysis fails for our reasons, the credit is automatically returned.

  7. 7.The analysis: what it is and is not

The analysis compares the tender requirements with your documents and flags what is proven, to be confirmed or missing, quoting the page of the buyer's document. It is produced by an artificial intelligence model, then made available for you to check.

The analysis is neither legal advice, nor a compliance certification, nor a guarantee of admission. It does not replace a competent person reading the specification. You remain the sole decision-maker on submitting and responsible for the content given to the buyer.

  8. 8.Written submission dossier (option)

The written dossier includes a cover letter, a company presentation, answers to the requirements found and numbered documents, delivered as PDF and an editable file in your workspace within three to five working days, and in any event before the submission deadline when that deadline is communicated at the time of order.

Drafting assumes that you provide the required material: it cannot invent references, certifications or figures. A delay on your side in sending documents postpones delivery accordingly.

If we do not deliver within the announced deadline, you may request a refund of this service, without prejudice to your other rights.

  9. 9.Final payments and refunds

Unless stated otherwise below, amounts paid are final. A started analysis, a consumed credit or a started subscription period does not entitle you to a refund, including in case of non-use.

Unused credits and analyses are neither refundable nor convertible into cash; they remain available for the duration of your subscription and are not carried over from one period to the next.

In case of cancellation during a period, the subscription is not refunded pro rata: you keep access until the end of the period already paid.

Three exceptions cannot be excluded: a double charge or a billing error, refunded in full; a service paid for but not delivered, or clearly not matching its description, which entitles you to choose between performance again and a refund; and the statutory right of withdrawal where the client is a consumer under European Union law, under the conditions of the relevant article.

Analysis guarantee: if the delivered analysis identifies no missing document and no discrepancy between the buyer's documents and yours, the purchase is refunded in full, on request to [email protected] within seven days of the report's delivery.

Any refund request must be sent to [email protected] within thirty days of payment, with the payment reference. We answer within ten business days. An approved refund is made to the original payment method.

Free re-run. If a delivered analysis does not match its description, the customer may, within five business days of delivery, state in writing what is missing; we then re-run the analysis once at no cost. This re-run constitutes correction within the meaning of the "Acceptance of deliverables" article and does not entitle the customer to a refund.

  10. 10.Customer obligations

You warrant that the documents you upload are accurate, up to date and yours, and that you are authorised to send them. You undertake not to upload forged documents, not to circumvent quotas and not to extract the service for resale.

Any consequence of an inaccurate document or of an omission in the submission is your responsibility.

  11. 11.Availability and deadlines

We aim for continuous availability of the service, without guaranteeing uninterrupted operation: maintenance, a provider incident or force majeure may affect it. Analyses are generally available within minutes; emails are sent the same working day.

  12. 12.Limitation of liability

Our liability for damage relating to the service is limited to the amounts actually paid by the customer over the previous twelve months. Indirect damage — lost tender, lost revenue, reputational loss — is excluded to the extent permitted by law.

These limitations do not apply in case of wilful misconduct, gross negligence, personal injury, or where the law prohibits them.

This limit may not be lower than CHF 100. Also excluded are loss of opportunity, loss of data the customer did not back up, the cost of replacing a dossier, penalties relating to a submission, and any damage resulting from a decision the customer takes on the basis of the service.

We guarantee neither eligibility for a tender, nor the completeness of notices published by third-party platforms (TED, simap.ch, Find a Tender), nor the accuracy of documents issued by the contracting authority. The service is decision support: the decision to bid, the content of the dossier submitted and its filing are the customer's alone.

  13. 13.Intellectual property and confidentiality

The Bidlora software, texts and graphic elements belong to us. The documents you upload remain yours: you grant us only the right to process them, for the duration of the service, to deliver what you asked for.

Texts generated for your dossier are at your disposal for your bid. We do not publish them and do not reuse them for another customer.

  14. 14.Personal data

Data processing is described on the Data protection page, which forms an integral part of these terms.

  15. 15.Termination

You may delete your account at any time from your workspace. Closure results, in this order, in: immediate termination of the subscription, so no further charge; closure of access the same day; then deletion of documents and dossiers thirty days later, during which you may request an export of your data at [email protected]. The current subscription period is not refunded. Only accounting records are kept, for the statutory period.

We may suspend or terminate an account in case of a serious breach of these terms, unpaid invoices or fraudulent use, with notice where circumstances allow.

  16. 16.Changes to the terms

We may change these terms to reflect a change in the service or the law. Changes are announced in the account area before they take effect; if you disagree, you may cancel before they apply.

Changes and price changes are announced at least thirty days before they take effect, by email and in the account area. After that period, continued use constitutes acceptance. If you refuse, you may cancel before they take effect, without a refund for the current period.

The price of services already paid does not change: the price displayed at the time of the order is the price charged.

  17. 17.Right of withdrawal (EU consumer customers)

The service is intended for professionals. If you act as a consumer residing in the European Union, you generally have fourteen days to withdraw from a distance order; by requesting immediate performance, you acknowledge that this right ends once the service has been fully performed.

  18. 18.Late payment

In the event of late payment, default interest of 5% per year is due without reminder, in accordance with art. 104 of the Swiss Code of Obligations. Reasonable reminder and collection costs are borne by the customer.

  19. 19.Force majeure

Neither party is liable for a failure caused by an external, unforeseeable and irresistible event: widespread infrastructure provider outage, major cyberattack, administrative decision, natural disaster. The affected party informs the other without delay and obligations are suspended for the duration of the impediment.

  20. 20.Customer status

By creating an account on behalf of an organisation, you confirm that you act for it and have authority to bind it. The Starter and Pro offers are intended for professional use; they are not intended for private use.

  21. 21.Complaints

Any complaint about a service should be sent to [email protected] within thirty days of delivery, describing the issue and the dossier concerned. We answer within ten working days and offer a correction, credit or refund depending on the situation. This period does not exclude your statutory rights.

  22. 22.Entire agreement

These terms, together with the data protection policy and the description of the offers published on the site, constitute the entire agreement. No prior oral statement or promise supplements them.

  23. 23.Severability

If a clause is held invalid or unenforceable, it is replaced by the provision closest to its economic purpose; the remaining clauses stay in force.

  24. 24.Assignment

You may not assign your account or rights without our written consent. We may assign the contract to a company taking over the business, without reducing your rights.

  25. 25.Assistants and subcontracting

We may use collaborators, technical providers and artificial intelligence tools to perform a service. They are bound by confidentiality and access only the data they need. We remain your sole contact and responsible for the service delivered.

  26. 26.Customer warranties and indemnity

The customer warrants that it has the right to upload the documents, data and information it submits, that they are accurate, and that their processing by Bidlora, including by its assistants and language-model providers, infringes no third-party right.

The customer warrants in particular that it holds the necessary rights over the references, certificates and exhibits in its dossier, and that it inserts no unlawful, misleading or third-party-confidential content.

The customer indemnifies Bidlora and holds it harmless from any claim, complaint, fine or cost (including reasonable defence costs) arising from a breach of these warranties, from use of the service contrary to these terms, or from the content of the dossier it filed.

  27. 27.Acceptance of deliverables

A deliverable (analysis, written dossier, generated document) is deemed accepted if no written complaint is made within five business days of it being made available, or within thirty days of delivery for a defect that could not be noticed immediately.

A complaint entitles the customer only to correction of the deliverable or, where correction is impossible, to a new deliverable. Corrections requested after acceptance, or resulting from a scope change decided by the customer, are quoted separately.

  28. 28.Suspension and account blocking

We may immediately suspend access to the service, without notice and without refund, in case of an invoice unpaid after ten days, suspected fraudulent use, an attempt to compromise security, or manifestly unlawful content. Suspension does not cancel amounts due.

After termination or blocking, the customer's documents remain available for download for thirty days, then are deleted according to the retention policy. The customer is responsible for its own backups.

  29. 29.Prohibited use and account security

Prohibited: reselling or making the service available to third parties, automated data extraction, reproducing the service or its outputs for competing purposes, attempting to bypass quotas, submitting falsified documents, and any use intended to mislead a contracting authority.

The customer is responsible for the confidentiality of its credentials and for all activity carried out from its account. Any unauthorised use must be reported immediately to [email protected].

  30. 30.Electronic evidence

The electronic records kept by Bidlora — order and login timestamps, usage logs, the version of the terms accepted, email exchanges — are admissible proof between the parties, absent evidence to the contrary.

  31. 31.Set-off and retention

Services are payable in advance. The customer may not set off its claims against our invoices, nor withhold payment because of a pending complaint, unless we acknowledge it in writing or a final decision so orders.

  32. 32.Limitation period

The customer's contractual claims lapse one year after knowledge of the damage, and in any event no later than two years after the relevant service. This reduction does not apply to wilful misconduct or gross negligence, nor to rights the law places beyond the parties' control.

  33. 33.Data chain and recipients

The data you entrust to the service passes through the following providers, each for a limited purpose. None of them buys your data, resells it, or uses it for its own purposes.

Supabase Inc. — database, authentication, uploaded files and server functions. Hosted in the European Union (Frankfurt).

Stripe Payments Europe Ltd — payments, subscriptions and invoices. Ireland (European Union). Stripe receives your billing identity and card data; we never see the card number and Stripe has access neither to your dossier content nor to your exhibits.

Resend (Plus Five Five, Inc.) — transactional email delivery: address confirmation, tender alerts, receipts, service notifications. United States, transfer covered by standard contractual clauses.

Cloudflare, Inc. — website delivery, DNS resolution and Turnstile anti-robot protection. The network processes technical data (IP address, browser fingerprint, timestamp) and does not receive your dossier content.

OpenAI (OpenAI OpCo, LLC) — language model that produces the tender analysis and its requirements. The tender documents and the necessary excerpts are transmitted. United States, transfer covered by standard contractual clauses.

Lovable AB — application hosting and website publishing. European Union.

Hostinger (UAB Hostinger) and the operator's assistance model — operations server used for support, assisted drafting and quality control of dossiers. Germany (European Union) for the server; the assistance model (DeepSeek) is operated outside the European Union and intervenes only on the operator's instruction, for dossiers whose drafting or review has been ordered.

Each provider is bound by a data-processing agreement or terms, with confidentiality, purpose limitation, retention and security measures. Transfers outside the European Union and Switzerland rely on the European Commission's standard contractual clauses.

The list published on the website's “Privacy” page is kept up to date; any change is announced under the article on changes to the terms. On request, you may obtain the full identity of the recipients and the nature of the safeguards applied.

  34. 34.Artificial intelligence, security and limits

The analysis is produced by a language model, assisted where relevant by the operator. It may contain errors, omissions or an inaccurate reading of a contracting authority document. It must be reviewed by the customer before any decision; it replaces neither a lawyer, nor a tender manager, nor reading the tender file.

Data submitted for analysis travels between the operator and the providers described in the "Data chain and recipients" article. They may be processed outside Switzerland and outside the European Union, under the conditions set out in that article.

We implement measures appropriate to the risk: encryption in transit, access segregation, least privilege, logging of sensitive operations, deletion on request. No information system can, however, guarantee absolute security or permanent availability. We are not liable for incidents attributable to the customer, its equipment or its credentials, to a malicious third party despite the measures in place, or to force majeure.

The customer refrains from uploading data that is not necessary for the analysis, in particular sensitive data within the meaning of the law (health, opinions, full banking details, third-party trade secrets) or documents covered by a confidentiality obligation towards a third party. The customer keeps its own copies of uploaded documents and maintains its own backups.

A data-processing agreement compliant with Article 28 GDPR governs the processing carried out on your behalf: technical and organisational measures, sub-processors and notice period, transfers outside Europe, assistance, breach notification within 48 hours, return and deletion at the end of the contract. It can be downloaded at bidlora.com/legal/conditions-bidlora-2026-10-28.pdf and signed separately on request.

  35. 35.Languages

The terms are published in French and English. In case of divergent interpretation, the French version prevails.

  36. 36.Governing law and jurisdiction

These terms are governed by Swiss law, excluding conflict-of-law rules and the Vienna Convention on the International Sale of Goods. The exclusive place of jurisdiction is the operator's registered office, in the canton of Vaud, subject to mandatory provisions protecting consumers; the parties waive any other forum.

  37. 37.Contact

For any question about an order or these terms: [email protected]. Operator: Bidlora, sole proprietorship, Rue du Jura 24, 1373 Chavornay, Suisse.
